Terms of Service

PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE USING THE INVENTORYWARE SERVICES.

1. Acceptance of Terms

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, referred to as "you" or "Customer") and Archon Interactive LLC ("InventoryWare," "we," "us," or "our") for the use of InventoryWare software applications, including web applications, mobile applications, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree to all terms, do not use the Services.

2. License Grant

Subject to your compliance with this Agreement and payment of applicable fees, InventoryWare grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.

This license does not include the right to:

• Sublicense, sell, resell, or transfer the Services
• Modify, adapt, or create derivative works of the Services
• Reverse engineer, decompile, or disassemble the Services
• Use the Services to develop a competing product
• Access the Services to build a similar service

3. Account Registration

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription and Fees

Access to certain features of the Services requires a paid subscription. Subscription fees are billed annually in advance. All fees are non-refundable except as expressly provided in this Agreement or required by law.

We reserve the right to change subscription fees upon 30 days' notice. Fee changes will take effect at the start of your next billing period.

5. Customer Data

You retain all rights to data you enter into or upload to the Services ("Customer Data"). You grant us a limited license to use Customer Data solely to provide and improve the Services.

You are responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it. You represent that you have all necessary rights to provide Customer Data to us.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of others
• Upload malicious code, viruses, or harmful data
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to the Services
• Use the Services for any fraudulent or illegal purpose

7. Intellectual Property

The Services and all related technology, documentation, and content are the exclusive property of InventoryWare and its licensors. This Agreement does not grant you any rights to our trademarks, service marks, or logos.

8. Privacy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

9. Service Availability

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. The Services may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVENTORYWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THIS AGREEMENT OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless InventoryWare and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of this Agreement.

13. Term and Termination

This Agreement remains in effect until terminated. You may terminate by canceling your subscription and ceasing use of the Services. We may terminate or suspend your access for violation of this Agreement or for any reason with 30 days' notice.

Upon termination, your license to use the Services ends, and we may delete your Customer Data after a 90-day retention period.

14. Modifications

We may modify this Agreement at any time by posting the revised terms on our website. Material changes will be communicated via email or in-app notification. Your continued use of the Services after changes take effect constitutes acceptance of the modified Agreement.

15. Governing Law

This Agreement shall be governed by the laws of the State of Maryland, without regard to its conflict of laws principles. Any disputes arising from this Agreement shall be resolved in the state or federal courts located in Baltimore, Maryland.

16. General Provisions

• Entire Agreement. This Agreement constitutes the entire agreement between you and InventoryWare regarding the Services.
• Severability. If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver. Failure to enforce any right does not constitute a waiver of that right.
• Assignment. You may not assign this Agreement without our consent.
